Cen-Tex Grasshoppers Golf Association Constitution & By-Laws
Article I. Name: CEN-TEX GRASSHOPPERS GOLF ASSOCIATION
Article II. Purpose: to support, maintain, and further the interest of
senior golf, foster good fellowship and recreational opportunities for its members through the game of golf. The Grasshoppers is a non-profit social organization, established so that mature adults who like to play golf can have fun and enjoy each other’s company. Eight tournaments are played between March and November of each year throughout Texas.
Article III. Memberships:
Section 3.01 Active Membership
(a) Any Person 55 years or older may become a member
(b) Pay annual dues
(c) Adhere to the rules of golf and of this Association
(d) Must attend as least 4 scheduled tournaments annually
(e) Have an established United States Golf Assoc (USGA) handicap or equivalent
Article IV. Governance:
Section 4.01 The Association is governed by the Board of Directors which is comprised of five members: Four Officers- President, Vice President, Secretary, and Treasurer and one Tournament Director.
Section 4.02 The Board of Directors have full powers and authority to perform all functions they deem necessary including revise/amend the Constitution or Bylaws.
Section 4.03 The Board of Directors shall have the power to expel members for conduct detrimental to the Association.
Section 4.04 Electing and replacing officers:
(a) Each officer is elected at the annual meeting for a term of one year.
(b) The board may decide on temporary replacement of officers when the need exists, but the replacement is only in an advisory capacity until approved by General Membership election.
(c) An officer may be removed from office with a vote of no confidence by four of the five directors.
Article V. General Membership Meetings:
Section 5.01 Parliamentary procedures will prevail at all meetings as set forth in Robert’s Rules of Order.
Section 5.02 Meetings of the Association shall be held at the call of the President, but not less than twice annually with one of these meetings to be held in November of each year to elect officers for the following year.
Section 5.03 A petition sponsored by eight or more members will require the President to call an emergency meeting on subjects of concern.
Section 5.04 A quorum shall be deemed to be at least 30% for the membership present. Members will be given notice of the meeting not less than 14 days prior and the agenda will be furnished at that time
Section 5.05 Special meetings of the Association may be called by the President, Board of Directors, or indicated in Section 5.03.
Section 5.06 Each member present at any meeting shall be allowed one vote. Proxy votes will not be permitted.
Section 5.07 All propositions to alter, amend, or add to the Constitution or Administrative Functions shall be presented in writing and filed with the Secretary who shall publicize such at least thirty (30) days before being acted on and shall be adopted with concurrence of the majority of votes cast.
Article VI. Board of Director Meetings: may be called at the discretion of the President and recorded and publicly published by the secretary
Article VII. Chairman/Committees/Advisers: The President, with the Board’s approval, may appoint a Handicap Chairman, Membership Chairman and Election Nominee Committee. Additionally, appointed Chairman/Committee members/Advisers are not Board Members hence cannot enter into contracts nor any financial disbursement without Board approval.
Article VIII. Association Finances:
Section 8.01 Each year the Board of Directors should prepare an annual budget and provide quarterly updates (Treasurer’s Report) to the membership on its finances.
Section 8.02 The Treasurer will be responsible for ensuring bank deposits and that expenditure reimbursements are adequately documented and done in a timely manner. The treasurer and one other officer will have signature authority at financial institutions.
Section 8.03 No members of the Board or its committees can be compensated for their duties, with the noted exception of approved expense reimbursement.
Section 8.04 Board approval for appropriate expenditures over $25.
Section 8.04 All records and materials are property of the Association and will pass with changes of Officers.
Cen-Tex Grasshoppers Golf Association By-Laws
Article I. Duties and responsibilities of officers.
Section 1.01 President: responsible for ensuring that all Directors conduct their roles consistent with the requirements of the Association, set the agenda, and leads the Board of Directors and General Membership meetings. The President may appoint individuals to assist and set committees with duties as necessary. The president will reside over the duties of the Membership Chairman, Handicap Chairman and Nominating Committee.
Section 1.02 Vice President: is responsible for executing all tasks assigned to him by the President and will fill-in in the President’s absence.
Section 1.03 Treasurer: is responsible for maintaining all Association financial accounts, second name on Bank account with President or Tournament Director, deposit dues, pay expenses and ensuring adequate documentation suitable for auditing.
Section 1.04 Secretary: is responsible for recording minutes of all Board and Membership meetings and ensuring those records are retained in a file archive. Is also responsible for maintenance and upkeep of the Grasshopper Bulletin Board.
Section 1.05 Tournament Director: performs all functions necessary to conduct monthly tournament(s), and report results in a timely manner. The TD may appoint individuals to assist and set committees with duties as necessary.
Article II. Selection and installation of officers
Section 2.01 A nominating committee chosen by the President shall present a slate of officers each October for the following year. Additional nominations may be made from the floor.
Section 2.02 Elections will be held during November each year.
Section 2.03 Term of office is January 1st thru December 31st for twelve months.
Section 2.04 Elections of new officers will be by open ballot; majority vote will rule.
Section 2.05 Candidates to fill Director position vacancies, excluding the Presidency, will be nominated by the Board and voted on at the next General Membership Meeting. The Vice President will automatically assume the role of President should that position become vacant.
Article III. Membership fees
Section 3.01 Membership fees based on the following:
- Initiation fee
- Annual dues
- Hole-in-One Club
- Fees for software program(s)
- Special Assessments
The amount of these fees and assessments shall be set by the Board of Directors and submitted to the membership. Member’s delinquent in dues payment more than 30 days are not eligible to participate in any Grasshopper activity.
